Acceptance of Terms

By accessing or using the Roam platform (the "Service") operated by Roam Technologies Inc. ("Roam," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including service providers ("Providers") and customers who book services ("Customers").

Description of Service

Roam is a location-based scheduling platform that enables mobile service providers to define service zones, set availability schedules, and accept bookings from customers within those zones. Roam acts solely as a platform facilitator connecting Providers and Customers — Roam is not a party to any service agreement between a Provider and a Customer.

Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to create an account and use the Service.

User Responsibilities

All Users

  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Provide accurate information in your profile, services, and bookings.
  • Do not attempt to interfere with or disrupt the Service or its infrastructure.
  • Do not use the Service to harass, abuse, or harm others.
  • Do not create multiple accounts to circumvent restrictions or bans.

Service Providers

  • Maintain accurate service descriptions, pricing, zone definitions, and availability schedules.
  • Honor confirmed bookings unless cancellation is communicated in a timely manner.
  • Hold all licenses, permits, and insurance required for the services you offer.
  • Comply with all applicable laws and regulations related to your services.

Customers

  • Provide accurate booking information, including your location and contact details.
  • Arrive at or be available for scheduled appointments as agreed.
  • Communicate cancellations in a timely manner.

Intellectual Property

The Service, including its design, features, code, and branding, is the property of Roam Technologies Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

You retain ownership of any content you create on the platform, including service descriptions, zone configurations, and profile information. By using the Service, you grant Roam a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely as necessary to operate and provide the Service.

Limitation of Liability

Roam is a platform facilitator. We are not a party to any agreement between Providers and Customers, and we do not guarantee the quality, safety, legality, or availability of any services offered through the platform.

To the maximum extent permitted by law, Roam and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claims arising out of or related to the Service shall not exceed the greater of (a) the amount you paid to Roam in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy of any information provided through the Service, including Provider availability, zone coverage, or booking confirmations.

Indemnification

You agree to indemnify, defend, and hold harmless Roam Technologies Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Any services provided by you as a Provider through the platform
  • Any dispute between you and another user of the Service

Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or is otherwise objectionable.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, indemnification, and dispute resolution.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in San Francisco, California, and the arbitrator's decision shall be final and binding. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
